Terms of Use

Welcome to The Well. These terms of use ("Terms") are entered into by and between you and The Well ("The Well," "we," "us," or "our") and govern your access to and use of our websites, applications, and other platforms, including any content, functionality, and services offered on or through them (the "Service").

By creating an account, accepting an invitation, or otherwise accessing or using the Service, you agree to be bound by these Terms, including our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Service.

1. The Service

The Well is an invitation-based introduction service for the Jewish community, based on certain criteria and eligibility as The Well determines in its discretion from time to time.

We use the language of introductions, not matches. The Well surfaces people we believe are worth your attention based on your profile and preferences. Whether an introduction becomes a conversation, a date, or a relationship is entirely up to you and the other person. The Service makes no guarantees as to the number of introductions you will receive, the suitability of any introduction, or that any introduction will lead to a connection, relationship, or any particular outcome. We are not responsible for the conduct of any member, whether on or off the Service.

As described below, our Service offers an AI-powered assistant that helps you build and edit your profile. Any output provided by any artificial-intelligence tool offered on the Service is subject to your review and confirmation before being used. You remain responsible for the accuracy of all your profile content, including content created with the assistance of AI-powered tools.

2. Eligibility

You are not authorized to create an account or use the Service unless all of the following are true, and by using the Service, you represent and warrant that:

Your account is for your personal, non-commercial use only. If at any time you cease to meet these eligibility requirements, your authorization to access the Service is automatically revoked, you must immediately delete your account, and we retain the right to remove your access to the Service without notice.

3. Invitations

Access to The Well may require an invitation from an existing, trusted member or a matchmaker of the Service. Invitations help keep the community accountable. When you invite someone, you are making a good-faith representation that you know them and believe they belong in the community. We reserve the right, but have no obligation, to verify identity, community ties, or eligibility, including through requesting certain materials from you such as a government-issued identification or selfie. We may decline or revoke access at our sole discretion for any reason or no reason without prior notice. Creating duplicate or false accounts to circumvent a ban, restriction, or verification requirement is prohibited and may result in permanent termination.

4. Your Account

You are responsible for maintaining the confidentiality and security of your login credentials and for all activity that occurs under your account, whether or not authorized by you. Sign-in may use a one-time code or magic link sent to your email. Notify us immediately at support@wellmatched.app if you believe your account has been accessed without your permission.

You represent, warrant, and covenant that the information you provide on the Service is accurate, current, and complete, and that you will keep it up to date. You may not misrepresent your identity, age, marital status, community ties, or affiliation with any person or entity. Impersonating another person or providing false information is a material breach of these Terms and may result in immediate account termination.

5. Your Profile and Content

The Well separates what you share into two clearly labeled categories. Your public profile is shown to other members of the Service as part of introductions. Your private profile contains more sensitive detail and is visible only to matchmakers and us, not to other members browsing the Service.

The Well reveals photos in stages as an introduction develops. Once a photo is shown to another member, we cannot control what that member does with it. Only upload photos of yourself to the Service that you are comfortable sharing with other members. You represent and warrant that you own or have the right to share any photos or other content you upload to the Service and that such photos and content do not depict anyone under eighteen (18) years old in a sexualized or inappropriate manner.

You may upload documents (for example, a resume, a bio, or a screenshot of an existing profile) to our Service for our tools to create a draft profile for your review. Any output created or provided by the tools on our Service is a suggestion only and requires your approval. You are responsible at all times for the accuracy of any such content.

You retain ownership of the content you upload ("Your Content"). By submitting Your Content to the Service, you grant us a worldwide, perpetual, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, copy, display, reproduce, adapt, modify, and distribute Your Content for the purposes of operating and improving the Service, including generating introductions, and as otherwise described in our Privacy Policy.

You are solely responsible for Your Content and your interactions with other members. By posting Your Content, you represent and warrant that you own it or have the right to share it, that it does not violate anyone else's rights, and that it complies with these Terms. You agree not to post or share anything that:

We reserve the right, but have no obligation, to review, monitor, remove, edit, limit, or block or prevent access to any of Your Content at any time at our sole discretion, and may suspend or terminate your account at any time in our sole discretion.

If you provide The Well with any suggestions, ideas, feedback, improvements, or other input regarding the Service ("Feedback"), you hereby assign to The Well all right, title, and interest in and to such Feedback. The Well may use, implement, modify, commercialize, or incorporate Feedback in any manner without obligation, attribution, or compensation to you.

6. Community Guidelines

The Well works only if members treat each other with the respect the community expects. You agree that you will not:

Violations of this Section 6 may result in immediate account suspension or termination and, where required by law, referral to law enforcement.

7. Reporting, Blocking, and Safety

Every member has the ability to end any chat, block any member, and report bad actors. We encourage you to report any inappropriate content or misconduct by other members.

You should meet new people in public, tell someone where you are going, and trust your instincts. We are not responsible for the conduct of any member, online or offline.

8. Matchmakers

Matchmakers available on the Service are independent contractors, not our employees, agents, partners or representatives. Their recommendations and opinions are their own, and do not represent any recommendation or opinion of The Well. The Well does not guarantee any matchmaker's judgment, availability, qualifications, or results, and we are not responsible for any matchmaker's conduct, statements, or actions or omissions.

Some matchmakers offer one-on-one consultations. Any fee for any consultation is arranged and settled directly between you and the matchmaker, off the Service. The Well is not a party to that arrangement and has no liability for any such transaction or services provided by any matchmaker.

9. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, logos, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by The Well, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Service, including any content of other members.

The Well name and all related names, logos, product and service names, designs, and slogans are trademarks of The Well or its licensors. You must not use such marks without the prior written permission of The Well.

10. AI Features and Limitations

Certain features on our Service use generative artificial intelligence ("AI"), including third-party AI systems. These third-party AI providers and other service providers may access, process, or store your data on our behalf in connection with the Service. AI-generated content is produced by automated systems and may be imperfect, biased, incomplete, or inaccurate.

Any content or information any tool or feature on our Service creates, provides or suggests is presented to you for review before it is used in your profile. You remain solely responsible for the accuracy and appropriateness of any content and information that is included in your profile, regardless of whether or not you used any tool or feature on our Service to assist.

Based on your profile and other information, the Service may generate personalized introductions presenting you to other members. While you review and approve your profile content, you may not see or pre-approve every introduction made of you to another member. The Well does not warrant that any AI-generated insights, introductions, or suggestions will be accurate, complete, or lead to any particular outcome.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend, restrict, or terminate your access at any time, with or without notice, for any reason, including if we believe you have violated these Terms, if we believe it is necessary to protect the safety or security of members or the Service, if required by law, or if we discontinue the Service.

If your account is terminated by you or by us for any reason, these Terms continue and remain enforceable between you and us. Your information will be maintained and deleted in accordance with our Privacy Policy. Sections 5, 6, 9, 10, 11, 12, 13, 14, 15, 16, and 17 of these Terms survive termination of these Terms.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The Well, its affiliates, and its and their respective officers, directors, owners, members, employees, agents, and service providers from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and expenses) arising out of or relating to: (a) your access to or use of the Service; (b) Your Content; (c) your interactions with other members or matchmakers, whether online or offline; (d) your violation of these Terms or applicable law; or (e) your violation of any rights of another person or entity.

15. Dispute Resolution and Governing Law

Disputes. Except for disputes that qualify for small claims court, you and The Well agree that any dispute, claim, or controversy between you and The Well or its affiliates regarding the Service (a "Dispute") will be resolved only through final and binding individual arbitration under the Federal Arbitration Act, and not litigated in court.

Notice of Dispute. If you have a Dispute with us or any of our affiliates, you must send written notice to The Well, 983 Park Ave, New York, NY 10028, or by email to support@wellmatched.app, to give us the opportunity to resolve the Dispute informally before initiating arbitration.

Arbitration procedures. The party initiating arbitration may do so with the American Arbitration Association ("AAA"), www.adr.org, or JAMS, www.jamsadr.com. For claims of less than $100,000, the AAA's Supplementary Procedures for Consumer-Related Disputes apply; for claims over $100,000, the AAA's Commercial Arbitration Rules apply. If you provided notice and negotiated in good faith and the arbitrator finds you are the prevailing party, you may recover reasonable attorneys' fees and costs. The arbitrator's award will be binding and final, except for any right of appeal provided by the FAA, and may be entered in any court having jurisdiction for purposes of enforcement.

Location of arbitration. Arbitration may be initiated in New York County, New York, or the county in which you reside, subject to the entity you have a Dispute with agreeing to pay any additional fees or costs to transfer it to New York County.

Severability and continuation. If any clause within this Section 15 is found illegal or unenforceable, that clause will be severed and the remainder of this Section will remain in full force and effect. This Section 15 survives any termination of these Terms or your use of the Service.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date above. Your continued access to or use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

17. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented to you, constitute the entire agreement between you and The Well regarding the Service and supersede all prior agreements, representations, and arrangements between you and us, whether written or oral. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. Our failure to exercise or enforce any right or provision shall not constitute a waiver of it. You may not assign, transfer, or delegate these Terms without our prior written consent; we may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of assets. No agency, partnership, joint venture, employment, or fiduciary relationship is created by these Terms. By using the Service, you consent to receive electronic communications from us, and agree that such communications satisfy any legal requirement that they be in writing.
